These Terms & Conditions (“Terms”) govern your access to and use of the Deal Flow Empire website, communications, and related services.

Depending on the applicable engagement, our services may include:

• Campaign development and management
• Related sales, marketing, and business growth services

The exact scope of services, deliverables, pricing, payment terms, performance terms, responsibilities, and service periods may be specified in a separate proposal, service agreement, order form, statement of work, or other written agreement between Deal Flow Empire and the client.

If there is a conflict between these Terms and a separately executed agreement between Deal Flow Empire and a client, the separately executed agreement will control with respect to that engagement.

Prices for Deal Flow Empire services are subject to change.

We reserve the right to modify, add, remove, or discontinue services or service offerings at our discretion, subject to any existing contractual obligations.

Payment terms for individual clients will be specified in the applicable contract, proposal, service agreement, order form, or other written agreement.

Depending on the applicable engagement, fees may include:

• Monthly service fees
• Setup or onboarding fees
• Sales development fees
• Demand generation or advertising management fees
• Performance-based fees
• Commissions
• Per-lead or per-appointment fees
• Website or landing page fees
• Additional service fees
• Other mutually agreed charges

Unless otherwise expressly stated in writing, advertising spend paid to Meta, Google, TikTok, YouTube, Microsoft, or other third-party advertising platforms is separate from Deal Flow Empire's service and management fees.

Clients are responsible for providing Deal Flow Empire with accurate, complete, and timely information reasonably necessary for us to perform the contracted services.

Depending on the engagement, clients may be required to provide access to systems or information including:

• CRM platforms
• Lead databases
• Advertising accounts
• Websites and landing pages
• Calendars
• Email accounts or systems
• Phone or communication platforms
• Sales materials
• Product or service information
• Pricing
• Offers and promotions
• Customer or prospect information
• Other systems reasonably necessary to perform the contracted services

Clients are responsible for ensuring that information, customer data, marketing claims, offers, products, services, and materials supplied to Deal Flow Empire are accurate and may lawfully be used for their intended purposes.

Deal Flow Empire provides services designed to help businesses generate, develop, qualify, and convert sales opportunities.

However, sales, marketing, advertising, and business results are affected by numerous factors, many of which are outside Deal Flow Empire's control.

Unless Deal Flow Empire expressly provides a specific written guarantee in a separately executed agreement, Deal Flow Empire does not guarantee:

• A specific number of leads
• A specific number of qualified opportunities
• A specific number of appointments
• A specific number of sales
• A particular appointment show rate
• A particular closing rate
• A specific amount of pipeline value
• A specific amount of revenue
• A particular cost per lead
• A particular customer acquisition cost
• A particular return on advertising spend
• A specific return on investment
• Any other particular financial or business result

Results vary depending on factors including market conditions, advertising spend, geographic location, pricing, offer strength, client responsiveness, sales ability, competition, seasonality, and other factors.

Any testimonials, case studies, revenue figures, pipeline values, performance statistics, or examples displayed by Deal Flow Empire represent specific historical results and should not be interpreted as a guarantee of future performance.

Deal Flow Empire may create, manage, optimize, or assist with advertising campaigns on third-party platforms.

These platforms may include:

• Meta
• Facebook
• Instagram
• Google
• YouTube
• TikTok
• Microsoft/Bing
• Other advertising networks

All advertising campaigns remain subject to the applicable platform's rules, policies, algorithms, approval procedures, and account restrictions.

Deal Flow Empire cannot guarantee that an advertisement, campaign, advertising account, website, landing page, or offer will be approved or remain active on a third-party platform.

Third-party advertising platforms may modify their policies, algorithms, pricing, targeting capabilities, or functionality at any time.

Unless otherwise agreed in writing, clients are responsible for advertising spend charged by third-party advertising platforms.

Deal Flow Empire may use or integrate with third-party platforms to provide its services.

These may include CRM providers, advertising networks, analytics providers, communications providers, email providers, SMS providers, artificial intelligence services, website platforms, automation systems, scheduling tools, and other technology providers.

Deal Flow Empire does not control these third-party services and cannot guarantee their uninterrupted availability, performance, security, policies, or continued functionality.

Deal Flow Empire will not be responsible for service interruptions, account restrictions, platform outages, policy changes, or failures caused solely by third-party services outside our reasonable control.

Unless otherwise agreed in writing, Deal Flow Empire retains ownership of its proprietary intellectual property, including its:

• Systems
• Processes
• Methodologies
• Strategies
• Training materials
• Scripts
• Templates
• Workflows
• Automation structures
• Internal documentation
• Sales processes
• Campaign frameworks
• Software configurations
• Business methods
• Branding
• Website content
• Other proprietary materials

Content appearing on the Deal Flow Empire website, including text, graphics, logos, branding, designs, images, and original materials, is owned by or licensed to Deal Flow Empire and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publish, sell, license, commercially exploit, or create derivative works from Deal Flow Empire's protected materials without authorization, except as otherwise permitted by law or a separate written agreement.

Ownership and usage rights relating to client-specific deliverables may be further defined in the applicable client agreement.

Opt-Out

You may cancel SMS communications at any time by replying STOP. After sending STOP, you may receive a confirmation message confirming your unsubscribe status. Following confirmation, you will no longer receive applicable SMS messages from Deal Flow Empire unless you subsequently opt in again.

Rejoining

If you previously opted out and would like to receive SMS communications again, you may opt in again through an applicable Deal Flow Empire form or other authorized opt-in method.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Deal Flow Empire and its owners, officers, employees, contractors, representatives, and affiliates from claims, liabilities, damages, losses, costs, and reasonable expenses arising from:

• Materials or information you provide to Deal Flow Empire
• Your violation of applicable law
• Your infringement of third-party rights

Additional indemnification provisions may be contained in an applicable client agreement.

Deal Flow Empire reserves the right to suspend or terminate access to its website or services where reasonably necessary because of:

• Unlawful activity
• Fraud or suspected fraud
• Security concerns
• Nonpayment
• Abuse of our services
• Other circumstances permitted under an applicable agreement

Termination, cancellation, refund, and notice requirements applicable to paid client engagements will be governed by the applicable client agreement.

These Terms and your use of the Deal Flow Empire website will be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict-of-law principles.

Any arbitration, venue, dispute-resolution, or governing-law provisions contained in a separately executed agreement between Deal Flow Empire and a client will control with respect to disputes arising from that particular engagement.

To the extent a dispute is not governed by a separate agreement and may properly be brought in court, the parties agree that the appropriate state or federal courts located in Rhode Island will have jurisdiction, subject to applicable law.

Deal Flow Empire reserves the right to update or modify these Terms & Conditions periodically.

Changes will become effective when the revised Terms are posted on our website unless otherwise stated or required by applicable law.

The “Last Updated” date at the beginning of these Terms will indicate when the Terms were most recently revised.

Your continued use of the website or services following the posting of revised Terms constitutes acknowledgment of the updated Terms to the extent permitted by applicable law.

For paid client engagements, the applicable service agreement, proposal, order form, statement of work, or other executed agreement may contain additional or different terms and will control where expressly stated or where there is a conflict.
